END-USER LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ CAREFULLY. THIS IS A LICENSE AGREEMENT. PALADIN (“Licensed Software,” which includes the integrated and proprietary PALADIN TOOLBOX™) is protected by copyright laws, international treaties, and additional intellectual property laws. The Licensed Software is licensed, not sold.

I. DEFINITIONS

Trademark Notice: PALADIN® is a registered trademark of SUMURI LLC. PALADIN TOOLBOX™ is an unregistered trademark of SUMURI LLC. Unauthorized use of these marks—including use in marketing, advertising, product descriptions, workstation offerings, or statements of compatibility—is strictly prohibited.
PALADIN Variants: “PALADIN” refers to all SUMURI-distributed forms, versions, and configurations of the software, including but not limited to PALADIN LTS, PALADIN 32, and preconfigured removable media such as PALADIN PRO. All variants are fully governed by this EULA.
Base Operating System Environment: The open-source operating system used as the foundation for PALADIN. This may include Ubuntu or may change to another Linux, BSD, or alternative environment in the future.
SUMURI Modifications and Enhancements: All SUMURI-created forensic hardening, security controls, configurations, workflows, scripts, automation, UI elements, launcher systems, and environment arrangements applied to the Base Operating System Environment to produce the PALADIN forensic environment.
Licensed Software: The proprietary SUMURI LLC software known as PALADIN, including the integrated PALADIN TOOLBOX™, all SUMURI-developed components, SUMURI enhancements, packaging, structures, documentation, and intellectual property. OSS components distributed with PALADIN remain governed by their own licenses.
Removable Media Use: Use of PALADIN exclusively from a removable bootable device such as a USB drive.
Permanent Installation: Any installation, copying, configuration, or integration of any part of PALADIN onto a system’s internal storage, bootloader, NVRAM, firmware, or internal partitions—including any act that enables or modifies system behavior to internally boot or load PALADIN.
Open Source Interoperability Notice: The Licensed Software interacts with Open Source Software only through standard system interfaces, commands, and documented APIs. It does not statically or dynamically link to GPL-licensed libraries in a manner that would create a derivative work under applicable open-source license definitions.

II. LICENSE GRANT AND PERMITTED USE

SUMURI LLC grants a personal, non-exclusive, non-transferable license to use PALADIN under the terms herein.

2.1 Removable Media Use (Default License)

You may download, create, and use a bootable copy of PALADIN exclusively on removable media. This mode of use is considered non-commercial unless a Commercial License Fee is paid.

2.2 Permanent Installation — Exclusive Authorization Required

Permanent Installation of PALADIN may be performed only by:

Any unauthorized Permanent Installation or facilitation thereof results in immediate termination of this EULA.

Technical Integrity and Forensic Soundness Requirement

These restrictions are technically necessary to preserve forensic soundness, validated configurations, evidentiary reliability, and security integrity. Unauthorized installation may compromise forensic environments and expose SUMURI LLC to liability.

2.3 Commercial Use License Fee

Commercial use of PALADIN requires payment of a Commercial License Fee of at least $25.00 USD per user per major version.
This fee is required only when upgrading to a new major version (e.g., Version 9 → Version 10). Each major version requires its own fee
For-profit organizations must pay at least $25.00 USD per user, consistent with SUMURI’s Donation Policy. Users may voluntarily exceed this amount.
For not-for-profit use, including law enforcement, education, charitable organizations, and individual/personal use, the fee may be any amount from $0.00 USD upward.
A valid payment grants a non-transferable commercial-use license for that major version.

III. PROHIBITED USES AND INTELLECTUAL PROPERTY

All SUMURI Modifications and Enhancements, including arrangements, workflows, scripts, UI, integration logic, and packaging of tools, are exclusive SUMURI intellectual property.
OSS components remain governed by their applicable licenses. SUMURI asserts no ownership over those components.
The selection, compilation, coordination, and integration of tools and modifications forming the PALADIN forensic environment are protectable intellectual property and may not be copied, replicated, or used to create competing forensic environments

IV. TERMINATION

Any violation of this EULA terminates the license immediately. Upon termination, all use must cease and all copies must be destroyed.

V. LIMITATION OF LIABILITY

PALADIN is provided “AS IS” without warranties of any kind. SUMURI LLC is not liable for incidental, indirect, orm consequential damages. Liability shall not exceed the amount paid, if any.

VI. JURISDICTION

This EULA is governed by the laws of the State of Delaware, USA. All disputes fall under exclusive jurisdiction of Delaware state or federal courts.
